Position Overview

A leading AmLaw-ranked law firm is seeking a talented ECVC Associate to join its Emerging Companies & Venture Capital practice. This role offers the opportunity to work with high-growth startups, founders, and venture capital investors across all stages of the company lifecycle—from formation through financing, scaling, and exit.

The ideal candidate will have strong corporate transactional experience, a practical business mindset, and an interest in advising innovative companies and investment funds in fast-paced, technology-driven environments.

Key Responsibilities

  • Represent emerging growth companies in entity formation, governance, and day-to-day corporate matters

  • Advise startups and founders on early- and growth-stage financings, including seed, Series A–D, and bridge rounds

  • Represent venture capital and strategic investors in equity and debt financings

  • Draft and negotiate financing documents, including stock purchase agreements, investors’ rights agreements, voting agreements, and SAFEs/convertible notes

  • Counsel clients on cap table management, equity incentive plans, and founder compensation matters

  • Support M&A transactions, exits, and strategic partnerships involving venture-backed companies

  • Coordinate with tax, IP, employment, and regulatory teams as part of integrated deal teams

Qualifications

  • JD from a top-tier law school

  • Admission to practice in the relevant jurisdiction (or eligibility to waive in)

  • 2–5 years of corporate transactional experience, preferably with ECVC, startup, or venture capital matters

  • Experience with venture financings and emerging company work strongly preferred

  • Familiarity with Delaware corporate law and venture market norms

  • Excellent drafting, analytical, and communication skills

  • Strong organizational skills and ability to manage multiple matters simultaneously

  • Entrepreneurial mindset and interest in innovation, technology, and venture-backed businesses
